Agreement between User and Publisher of this Business Web Portal
“German Speaking Market Entry Support” (referred to as “Portal”).    

Welcome to the General Terms and Conditions of German Speaking Market Entry Support,
a Network of independent German and English speaking experts and companies
with skilled specialists in their fields, and represented for collectively referred to as the
("Network"), which may expand or change from time to time.

Please read the following Terms and Conditions carefully before using this
Portal. By accessing or using this Portal, you agree to these Terms & Conditions
and all applicable laws.

If you do not agree to these Terms and Conditions you may not use this Portal.

History: The Network was founded in August 2006 by the German marketing expert
Manfred Leyhausen (referred to as “Publisher”) from Neuss/Duesseldorf in Germany.

The Outcome of the Network is to support Enterprises out of Anglo-American
Countries, like Distributors, Vendors or Trade Companies with the Aim
of Expanding into Germany. In addition to this, it is an Excellent Source to find
Support and Help by native German Speaking Experts for Manufacturers planning
their independent Production or Assembly Line in Germany, Austria and Switzerland.

The Network makes available a Variety of Business Services and Products for the benefit of companies expanding into Germany, Austria or Switzerland (collectively, the "GM-ES Services").

In addition to the General Terms and Conditions of the Publisher with his Portal,
there are separate Terms and Conditions from the individual members of the
Network, which will regulate the rights and obligations between cooperating clients
and members of the Network particularly.

Each member of the Network cooperates independently with any of the clients
who found together through the Portal.  

Under no circumstances is the Publisher responsible for any results of the
GM-ES Services, generated by any member out of the Network, because all
contracting has to be conducted with the chosen member and his offered
services. This member is the only responsible partner for differences of any kind.

Unless explicitly stated otherwise, any Services (as defined below), including the addition
of new Network offers shall be subject to these Terms and Conditions and in
addition to this to the Terms and Conditions of the individual member of the Network.

You should understand that you are bound by the entire Terms and Conditions
of the Publisher and the Terms and Conditions by the individual Member
of the Network.

1. Acceptance.
By using the Network, you agree, without limitation or qualification, to be bound by,
and to comply with, these Terms and Conditions and any other Terms and Conditions of a
member of the Network or rules applicable to any individual GM-ES Service or Product. 

2. Conditions and Restrictions on Use
Use of the Services and Products of the Network is subject to compliance with these
Terms and Conditions. You acknowledge and agree that the Publisher may put your name
on a black list which will be distributed to all members of the Network should you fail
to comply with the Terms and Conditions or any other Portallines and rules published by a
member of the Network.

Any information like this shall be in Publisher’s sole discretion and may occur without prior
notice, or any notice at all.

Publisher and the total Network does not discriminate on the basis
of gender, race, ethnicity, nationality, religion or any other protected status.

3. Provided information
In a certain stage of the cooperation with any member of the Network it will require
the user to provide specific data. In providing such data, you represent and warrant that:
(a) the information about yourself is true, accurate, current, and complete as required by
the individual member of the Network and
(b) you will promptly update the data to keep it true, accurate, current and complete.

If you provide any information that is untrue, inaccurate, not current or incomplete,
or the individual member of the Network has reasonable reasons to suspect
that such information is untrue, inaccurate, not current or incomplete, the Publisher
has the right putting your name on a black list and to communicate this information
to all members of the Network.

4. Limitation of Liability 
You expressively understand and agree that under no circumstances shall
Publisher be liable to any User of the Portal or of the Network
for that Users use or misuse on the reliance on the GM-ES Services.

You expressively understand and agree that under no circumstances shall Publisher
be liable to any member of the Network for any losses or damages caused by a Users use
or misuse on the reliance on the GM-ES Services.

Such limitations of liability shall apply to prevent recovery of direct, indirect,
incidental, consequential, special, exemplary and punitive damages
(even if Publisher have been advised of the possibilities of such damages).

Such limitation of liability shall apply whether the damages arise from a use or a misuse
of and reliance on the Portal, Network and GM-ES Services,
from inability to reach or use the Portal, Network and its GM-ES
Services, or from the interruption, suspension of the Portal, or termination
of Network and GM-ES Services (including such damages incurred by third parties).

Such limitations shall also apply with respect to damages caused by reasons due to
advertising of the GM-ES Services or caused by any links provided in the GM-ES Web
Portal or on any of the websites of any member of the Network.

Such limitation shall apply, without limitation, to the costs of procurement,
lost orders, lost profits, or of substitute services or goods.

Such limitation shall apply to the performance or non-performance of GM-ES
Services or any information, cooperation, merchandise that is linked or related
in any way to the Network.

Under no circumstances shall Publisher or any member of the Network
be held liable for any delay or failure in performance resulting directly or non-
directly form acts of nature, forces, or caused beyond its reasonable control,
including, without limitations, internet and telecommunication equipment,
electrical power failures, strikes, labor disputes, fires, floods, storms, explosions,
war, change of law and non-performance of third parties. 

5. Disclaimer regarding Web Content of the Network 
The Portal offered by Publisher provides access to the web pages of the
Network over the Internet. Publisher is not responsible for the provided text
by the Network. Publisher puts out Portallines, but is not in charge for the
individual content of such sites.

6. Miscellaneous 
These Terms and Conditions shall be governed by the laws of Germany.
Any dispute or claim with the Publisher arising out of or in connection with the GM-ES
Web Portal, Network or GM-ES Services will be adjudicated in Neuss, Germany.
The failure to require performance of any provision shall not affect a party's right to require performance at any time thereafter, nor shall a waiver of any breach or default of these
Terms and Conditions constitute a waiver of any subsequent breach or default or a waiver
of the provision itself. If any provision herein is held unenforceable, then such provision
will be modified to reflect the parties' intention, and the remaining provisions of these
Terms and Conditions will remain in full force and effect. There is by no means any kind
of direct relationship and especially not a contractor relationship between Publisher and User.
The relationship is only between User and the individually chosen member of the
Network, once an agreement for a cooperation is achieved.

7. Changes of Terms and Conditions
Publisher reserves the right to modify the concept of his Portal, from time
to time, for any reason, and without notice, including the right to terminate the Portal itself
or to alter its content, the kind and number of members and the offer
of published GM-ES Services. The Publisher reserves the right to modify these Terms
and Conditions from time to time, without notice. Please review these Terms and Conditions
from time to time so you will be apprised of any changes.

8. Areas of Improvement and Submissions of Ideas
If you see areas of improvement or if you have ideas regarding additions to the GM-ES Web
Portal, GM-ES Network and/or the GM-ES Services we would love to learn about those.
